1.Acceptance of terms

By installing or using ABC Digital Downloads, you ("Merchant") agree to these Terms of Service. These terms constitute a legal agreement between you and ABC Digital Downloads LLC ("we," "us," "our"). If you do not agree, you must stop using the app.

We may modify these terms. Significant changes are communicated via email or in-app notification. Your continued use after a change constitutes acceptance of the updated terms.

2.Service description

ABC Digital Downloads is a Shopify app that enables merchants to host, sell, and deliver digital products — files, ebooks, music, video, software — directly to their customers.

We provide tools to automate delivery and file access control. The effectiveness of any specific setup depends on the merchant's configuration and store environment.

3.Disclaimer of warranties

ABC Digital Downloads is provided "as is" and "as available," without warranty of any kind. We do not guarantee uninterrupted service, freedom from errors, or compatibility with every third-party app or theme.

Merchants are responsible for testing their setup and delivery workflows, ensuring compatibility with their store and other installed apps, and monitoring for download issues or customer access errors.

4.Sales and delivery responsibility

ABC Digital Downloads gives merchants the tools to configure and distribute digital products, but we do not control your store's strategy, branding, or customer flow. It is your responsibility to ensure file access settings and delivery rules are correct, monitor download activity, and handle pricing, refunds, and customer service.

We are not liable for lost revenue, incorrect file access, customer complaints, or DRM issues resulting from improper setup.

5.Limitation of liability

To the maximum extent permitted by law, ABC Digital Downloads LLC and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages related to your use of the app — including revenue loss, file delivery issues, or app unavailability due to third-party conflicts.

6.Indemnification

You agree to indemnify and hold ABC Digital Downloads harmless from claims, losses, or liabilities arising from your misuse of the app, customer disputes regarding digital access or unauthorized downloads, or legal violations such as copyright, consumer protection, or data privacy.

You are solely responsible for ensuring legal compliance when using the app.

7.Subscription fees and billing

App fees are billed via Shopify based on the plan you select. Access may be suspended or terminated if payment fails.

Pricing may change, and continued use after notification constitutes acceptance. Free trials may be offered and will convert to paid plans unless canceled before expiration. Refunds are discretionary and limited to technical issues unless otherwise required by law.

8.Termination and suspension

We may suspend or terminate access if you violate these terms, fail to pay fees, or if fraudulent or abusive behavior is detected.

Termination may include removal of access to stored files or download links.

9.Merchant responsibilities

You are responsible for ensuring all uploaded content is legal and owned by you, setting appropriate file access rules and download limits, and complying with applicable digital commerce laws and regulations.

ABC Digital Downloads only provides a delivery framework — you are fully responsible for content, pricing, access, and customer support.

10.Intellectual property

All intellectual property related to the ABC Digital Downloads platform — the app interface, branding, and underlying technology — belongs to ABC Digital Downloads LLC. Merchants are granted a non-exclusive license to use the app solely within their Shopify store.

You may not reverse engineer, resell, or misrepresent the app in any form.

11.Data collection and privacy

We collect data needed to operate the app, deliver files, and track downloads. This includes order and customer information for digital delivery, uploaded file metadata, and basic usage analytics.

You are responsible for informing your customers and complying with applicable data protection laws. See the Privacy Policy for the full breakdown.

12.Third-party integrations

Our app integrates with Shopify and may interact with other apps or services. We are not liable for changes in third-party services, API updates, or outages that affect ABC Digital Downloads functionality.

Compatibility testing is your responsibility.

13.Force majeure

We are not liable for delays or disruptions caused by factors beyond our control — natural disasters, internet failures, government restrictions, or infrastructure outages.

14.Dispute resolution

Any disputes arising from these terms shall first be addressed in good faith between both parties. If unresolved, disputes will be settled via binding arbitration in Ohio, United States under AAA rules.

Each party covers its own legal costs unless otherwise required by law.

15.No waiver

Failure to enforce any term does not waive our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of ABC Digital Downloads.

16.File confidentiality and usage

You retain full ownership of all digital files uploaded through ABC Digital Downloads. We will not access, copy, share, or use your files for any commercial or non-commercial purposes.

Files are only accessed if necessary to deliver content to your customers or to provide technical support at your request. We do not monitor, modify, or distribute merchant-uploaded content in any form.
